Summary
By using the Matchstra API, you agree to:

- Use the API for legitimate business purposes
- Comply with all applicable laws and regulations
- Implement appropriate security measures
- Respect rate limits and quota allocations
- Provide accurate information during registration
❌ Prohibited Uses
- Violate any laws or regulations
- Attempt to bypass security or rate limits
- Resell or redistribute API access without authorization
- Use the API to harm, harass, or discriminate
- Reverse engineer or attempt to extract proprietary data
- Store or process data in violation of privacy laws
API Usage Terms
Authentication & Security
- API keys are confidential - Do not share or expose them
- You are responsible for all activity under your API keys
- Report compromises immediately to security@matchstra.ca
- Rotate keys regularly as a security best practice
Data Usage & Privacy
- Compliance required - Follow GDPR, PIPEDA, CCPA, and applicable data protection laws
- User consent - Obtain necessary consents before processing personal data
- Data retention - Respect data retention limits and user deletion requests
- Purpose limitation - Use API data only for stated purposes
Rate Limits & Quotas
- Respect quotas - Do not attempt to circumvent rate limits
- Monitor usage - Track your quota consumption
- Upgrade as needed - Contact sales if limits are insufficient
- No abuse - Excessive or abusive usage may result in suspension
Service Availability
- Best effort uptime - We strive for 99.9% uptime (varies by plan)
- No guarantees - Service may be interrupted for maintenance or issues
- Notifications - We'll provide advance notice of scheduled downtime when possible
- Status updates - Check status.matchstra.ca for current status
Compliance & Legal
Regulatory Compliance
Your Responsibilities:
- Comply with AML/KYC regulations in your jurisdiction
- Maintain appropriate audit trails
- Implement risk-based approaches
- File required reports (SAR, STR, etc.) with regulators
Our Responsibilities:
- Provide accurate screening data
- Maintain data security standards
- Update watchlists regularly
- Support your compliance efforts
Jurisdictional Coverage
The Matchstra API screens against global watchlists including:
- US (OFAC, FinCEN)
- Canada (FINTRAC, GAC)
- EU (EBA, ESMA)
- UK (FCA, HMT)
- United Nations
- Interpol
Data Processing
- Processor role - Matchstra acts as a data processor for your data
- Controller role - You are the data controller
- DPA available - Enterprise customers can request a Data Processing Agreement
- Subprocessors - We use vetted third-party services (list available on request)
Intellectual Property
Ownership
- API & Platform - Matchstra retains all rights to the API, documentation, and platform
- Your Data - You retain all rights to data you submit
- Results - Screening results are licensed to you for your use
Restrictions
- Do not copy, modify, or create derivative works of the API
- Do not remove or alter any proprietary notices
- Do not use Matchstra trademarks without permission
Billing & Payment
Plans & Pricing
- Subscription billing - Plans billed monthly or annually
- Quota-based - Pricing based on request volume
- Overages - May apply depending on plan (see pricing page)
- Upgrades/downgrades - Prorated adjustments
Payment Terms
- Payment due - Upon receipt of invoice
- Auto-renewal - Plans renew automatically unless cancelled
- Cancellation - 30 days notice required
- Refunds - No refunds for partial months (exceptions for service failures)
Taxes
- Prices exclude applicable taxes (VAT, GST, etc.)
- You are responsible for paying all applicable taxes
- Tax collection depends on your jurisdiction
Termination
By You
- Cancel anytime with 30 days notice
- Data export available before termination
- No refunds for unused quota
By Matchstra
We may suspend or terminate your access if:
- You violate these terms
- You engage in fraudulent or illegal activity
- Your account is inactive for 12+ months
- Payment is overdue by 30+ days
- You pose a security risk
Upon Termination
- API access immediately revoked
- Outstanding invoices remain due
- Data deleted after 90 days (unless legally required to retain)
- No refunds for prepaid services
Liability & Disclaimers
Service "As Is"
- API provided "as is" without warranties
- No guarantee of accuracy, completeness, or reliability
- No guarantee of uninterrupted service
Limitation of Liability
To the maximum extent permitted by law:
- Matchstra is not liable for indirect, incidental, or consequential damages
- Total liability limited to fees paid in the 12 months prior to claim
- No liability for third-party services or data sources
Indemnification
You agree to indemnify Matchstra against claims arising from:
- Your use of the API
- Your violation of these terms
- Your violation of applicable laws
Changes to Terms
- We may update these terms at any time
- Material changes will be notified via email
- Continued use after changes constitutes acceptance
- Enterprise customers may have negotiated terms
Governing Law
- Governed by the laws of [Jurisdiction - to be specified]
- Disputes resolved in [Jurisdiction] courts
- Arbitration may be required (per your plan agreement)
